Acceptance of Terms

By accessing or using Audentia's website, services, mobile applications, or participating in our ambassador program (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Audentia ("we," "us," or "our").

Definitions

"Account" means your registered user account on our platform. "Ambassador" means a user enrolled in our ambassador program. "Content" means text, images, videos, and other materials on our Services. "User" means any person who accesses or uses our Services. "Products" means merchandise, goods, or services offered for sale through our platform.

Eligibility

Age Requirement

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

• You are 18 years of age or older
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using our Services under applicable law

Geographic Restrictions

Our Services are intended for users in the United States. We make no claims that our Services are accessible, appropriate, or legal outside the United States. If you access our Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Account Registration

Creating an Account

To access certain features, you must create an account by providing:

• A valid email address
• A secure password
• Accurate registration information

Alternatively, you may register using:

• Facebook OAuth: By using Facebook login, you authorize us to access your Facebook profile information as permitted by Facebook and agreed to by you
• Google OAuth: By using Google login, you authorize us to access your Google account information as permitted by Google and agreed to by you
• Discord OAuth: By using Discord login, you authorize us to access your Discord profile information as permitted by Discord and agreed to by you

Social Authentication

When you use Facebook, Google, or Discord OAuth:

• You are subject to the terms of service and privacy policies of Facebook, Google, or Discord
• We receive only the information you authorize these providers to share
• You may revoke access through your Facebook, Google, or Discord account settings
• We are not responsible for the practices of these third-party authentication providers

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information is accurate and up to date

You may not:

• Share your account credentials with others
• Use another person's account
• Create multiple accounts to circumvent restrictions
• Use automated means to create accounts

Ambassador Program

Enrollment

To participate in our ambassador program, you must:

• Have an active account in good standing
• Complete the ambassador application
• Agree to the Ambassador Program Agreement
• Provide required tax information (W-9 or equivalent)
• Comply with all applicable laws and regulations

Commission Structure

Ambassadors earn commissions on qualifying sales made through their unique referral links or discount codes. Commission rates, payment schedules, and eligibility criteria are detailed in the Ambassador Program Agreement.

Ambassador Responsibilities

As an ambassador, you agree to:

• Promote our Products honestly and accurately
• Disclose your affiliate relationship when promoting Products
• Comply with FTC guidelines on endorsements and testimonials
• Not make false or misleading claims about our Products
• Not engage in spamming, unsolicited communications, or black-hat marketing tactics
• Not use our trademarks without prior written permission
• Not bid on our branded keywords in paid search campaigns

Termination of Ambassador Status

We may suspend or terminate your ambassador status at any time for:

• Violation of these Terms or the Ambassador Program Agreement
• Fraudulent activity or suspicious referral patterns
• Conduct that harms our brand or reputation
• Inactivity for an extended period

Upon termination:

• You must cease all promotional activities
• Unpaid commissions may be forfeited if termination is for cause
• You must remove any promotional materials featuring our Products or branding

Use of Services

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes (or commercial purposes if participating in the ambassador program), subject to these Terms.

Prohibited Uses

You may not:

Illegal Activities:

• Use our Services for any unlawful purpose
• Violate any applicable laws, regulations, or third-party rights
• Engage in fraud, money laundering, or terrorist financing

Unauthorized Access:

• Attempt to gain unauthorized access to our systems or networks
• Bypass security measures or authentication mechanisms
• Access areas of the Services not intended for general users

Interference:

• Interfere with the proper functioning of our Services
• Distribute viruses, malware, or harmful code
• Overload our servers or networks (e.g., DDoS attacks)
• Use automated tools (bots, scrapers) without permission

Misrepresentation:

• Impersonate any person or entity
• Falsely state or misrepresent your affiliation with any person or entity
• Provide false information during registration or transactions

Intellectual Property Violations:

• Infringe our copyrights, trademarks, or other intellectual property
• Reproduce, distribute, or modify our Content without permission
• Remove copyright notices or proprietary markings

Harmful Content:

• Post or transmit defamatory, abusive, or harassing content
• Share content that is obscene, pornographic, or offensive
• Promote violence, discrimination, or illegal activities

Purchases and Payments

E-Commerce Platform

Our online store is powered by Shopify. By making purchases, you also agree to Shopify's Terms of Service.

Product Information

We strive to provide accurate product descriptions, images, and pricing. However:

• Product colors may vary due to display settings
• We do not warrant that descriptions are error-free
• We reserve the right to correct pricing errors
• Product availability is subject to change without notice

Pricing

All prices are in USD and are subject to change without notice. Prices include applicable sales tax where required. Shipping costs are calculated at checkout.

Payment Terms

Payment Due: Payment is required at the time of purchase.

If your order is canceled after payment, we will issue a full refund.

• Orders that have already shipped cannot be canceled

"Audentia" and our logo are registered trademarks of Audentia. You may not use our trademarks without our prior written consent.

User Content

If you submit content to our Services (reviews, comments, photos):

• You retain ownership of your content
• You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for promotional and operational purposes
• You represent that you have the right to submit the content and it does not violate any third-party rights

Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information.

By using our Services, you consent to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of title or non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, completeness, or reliability of Content

Product Disclaimers

We do not warrant that:

Third-Party Services

Our Services integrate with third-party services (Shopify, Facebook, Google, Discord, payment processors). We are not responsible for:

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDENTIA SHALL NOT BE LIABLE FOR:

Indirect Damages:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Loss of goodwill or reputation
• Cost of substitute goods or services

Direct Damages: Our total liability for any claims arising from or related to your use of our Services shall not exceed the greater of:

• The amount you paid to us in the 12 months preceding the claim, or
• $100

Exclusions: These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Audentia, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or activities on our Services
• Your participation in the ambassador program

Dispute Resolution

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Arbitration Agreement

Mandatory Arbitration: Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Process:

• Arbitration will be conducted by a single arbitrator
• Arbitration will take place in Pittsburgh, Pennsylvania
• The arbitrator's decision is final and binding
• Judgment on the award may be entered in any court

Exceptions: Either party may seek injunctive relief in court to prevent irreparable harm or infringement of intellectual property rights.

Class Action Waiver: You agree to resolve disputes individually. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

Informal Resolution

Before filing arbitration, you agree to attempt to resolve the dispute informally by contacting us at legal@audentia.shop. We will attempt to resolve the dispute within 30 days.

Termination

By You

You may terminate your account at any time by:

• Contacting customer support at support@audentia.shop
• Following the account deletion process in your account settings

By Us

We may suspend or terminate your account and access to our Services immediately, without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Risk to the security or integrity of our Services
• Extended inactivity
• Court order or legal requirement

Effect of Termination

Upon termination:

• Your right to use our Services ceases immediately
• We may delete your account and data (subject to legal retention requirements)
• You remain liable for any outstanding obligations
• Provisions that should survive termination (intellectual property, disclaimers, limitation of liability) remain in effect

Data Retention

After account termination:

• We may retain your data as required by law (tax records, transaction history)
• You may request data deletion as described in our Privacy Policy
• Some data may be retained in backups for a limited time

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

• Immediately upon posting for non-material changes
• 30 days after notice for material changes

• Email notification for material changes (if you have an account)
• In-app notification for material changes

Your Acceptance: Continued use of our Services after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using our Services and may terminate your account.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Audentia regarding use of our Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms. We may assign our rights and obligations to any successor or affiliate without restriction.

Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or technical failures.

Relationship of Parties

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Audentia. Ambassadors are independent contractors, not employees.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country.
